RESEARCH USE ONLY SALES TERMS AND PURCHASER ACKNOWLEDGMENT
These Research Use Only Sales Terms and Purchaser Acknowledgment (“Terms”) apply to all purchases made from GNP PEPTIDES LLC (“Company”).
Research Use Only. All products sold by Company are sold strictly for laboratory research purposes only and are not intended for human consumption, human administration, veterinary use, diagnostic use, therapeutic use, or any other clinical or patient-related use.
No Medical Claims. Company does not represent that any product is safe, effective, approved, or appropriate for human or animal use. The products have not been evaluated or approved by the U.S. Food and Drug Administration or any other governmental authority for any use other than research.
Purchaser Representations. By purchasing any product, Purchaser represents and warrants that Purchaser is acquiring the product solely for legitimate research purposes; Purchaser will not use, administer, resell, repackage, or distribute the product for human or veterinary use; Purchaser is legally authorized to possess the product in Purchaser’s jurisdiction; Purchaser is responsible for determining and complying with all applicable federal, state, local, and international laws; and Purchaser is not relying on Company for medical advice, diagnosis, or treatment recommendations.
No Reliance. Purchaser acknowledges that no statement on Company’s website, in marketing materials, in communications with Company personnel, or in any product description shall be construed as a representation of clinical efficacy or approval for use inconsistent with U.S. Food and Drug Administration directives.
Indemnification. Purchaser shall indemnify, defend, and hold harmless Company, its affiliates, officers, directors, employees, agents, and suppliers from and against any claims, liabilities, losses, penalties, damages, costs, and expenses arising out of or relating to Purchaser’s misuse of any product, Purchaser’s violation of applicable law, or Purchaser’s breach of these Terms.
Limitations. Purchaser may not resell, transfer, repackage, relabel, or divert any product except as expressly authorized in writing by Company and only to the extent permitted by law.
Acceptance. Purchaser must affirmatively accept these Terms before completing any purchase. Acceptance may be by click-through acknowledgment, electronic signature, or other written confirmation approved by Company.
Governing Law. These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules, except as otherwise required by applicable law.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
PURCHASER ACKNOWLEDGMENT
By clicking “I Agree” or otherwise accepting these Terms, Purchaser acknowledges that Purchaser has read, understands, and agrees to be bound by these Terms and that the products are being purchased solely for research use only.
